TOA Builder – Terms and Conditions

This document outlines the terms for using our new software tool, TOA Builder. Please read it carefully.

- ACCEPTANCE OF TERMS
By accessing or using Jurisage’s citation finding and table of authorities generation services (the “Services”), you (“User,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you are using the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
- DESCRIPTION OF SERVICES
Jurisage Group Inc (“Jurisage”) provides an automated tool that analyzes legal briefs and documents to identify citations and generate tables of authorities. The Services are designed to assist legal professionals in document preparation but are not a substitute for professional legal judgment and review.
- USER RESPONSIBILITIES AND DISCLAIMERS
3.1 Ultimate Responsibility
THE USER IS SOLELY AND ULTIMATELY RESPONSIBLE FOR ANY AND ALL DOCUMENTS, INCLUDING TABLES OF AUTHORITIES, SUBMITTED TO ANY COURT OR TRIBUNAL. Jurisage’s Services are provided as an assistance tool only and do not replace the professional judgment and review required for legal filings.
3.2 Verification Requirement
USER MUST VERIFY EACH AND EVERY CITATION FOR ACCURACY, COMPLETENESS, AND COMPLIANCE WITH APPLICABLE COURT RULES AND CITATION STANDARDS. This includes but is not limited to:
- Verifying case names and citations
- Confirming page numbers and pinpoint citations
- Ensuring compliance with local court rules and citation formats
- Checking for subsequent history and validity of authorities
- Confirming all authorities are properly categorized
3.3 No Legal Advice
The Services do not constitute legal advice. Jurisage does not provide legal advice, legal opinions, or legal representation. The relationship between Jurisage and User is not an attorney-client relationship.
- DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
4.1 Service Provided “As Is”
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
4.2 No Guarantee of Accuracy
JURISAGE IS NOT RESPONSIBLE FOR ANY MISTAKES, ERRORS, OMISSIONS, OR INACCURACIES IN THE TABLE OF AUTHORITIES OR ANY OTHER OUTPUT GENERATED BY THE SERVICES. This includes but is not limited to:
- Missing citations
- Incorrect citation formats
- Mischaracterized authorities
- Formatting errors
- Incomplete citations
- Errors in case names or reporter information
4.3 Limitation of Liability
IN NO EVENT SHALL JURISAGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Court sanctions or penalties
- Loss of cases or appeals
- Malpractice claims
- Loss of profits or business
- Damage to professional reputation
- Any damages arising from errors in tables of authorities
4.4 Maximum Liability
JURISAGE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY USER FOR THE SPECIFIC DOCUMENT PROCESSING THAT GAVE RISE TO THE CLAIM.
- PAYMENT TERMS
5.1 Fee Structure
The fee for Services is charged on a per-document basis. Each document uploaded for processing requires a separate payment. The generation of a table of authorities for one document does not include or cover any subsequent documents.
5.2 No Refunds for Completed Processing
Once a document has been processed and a table of authorities has been generated, the fee is non-refundable, regardless of the User’s satisfaction with or use of the output. If a user would like a refund, please contact Jurisage at support@jurisage.com.
5.3 Payment Authorization
By submitting payment information, you authorize Jurisage to charge the applicable fees to your designated payment method.
- CONSUMER PROTECTION COMPLIANCE
6.1 Fair Information Practices
In accordance with consumer protection regulations:
- All material terms are clearly disclosed in these Terms
- Pricing is clearly displayed before purchase
- Users have access to these Terms before using the Services
- Contact information for questions and concerns is provided
6.2 Cancellation Rights
Users may cancel their account at any time. Cancellation does not entitle users to refunds for Services already rendered.
6.3 Dispute Resolution
For billing disputes or concerns about the Services, users should first contact Jurisage at support@jurisage.com. We will make reasonable efforts to resolve disputes promptly and fairly.
6.4 Data Protection
We handle user data in accordance with our Privacy Policy, which describes how we collect, use, and protect your information.
- PROFESSIONAL USE ACKNOWLEDGMENTS
7.1 Professional Competence
User acknowledges that use of the Services does not diminish their professional obligations including:
- The duty of competent representation
- Obligations under applicable Rules of Professional Conduct
- Duties of candor to tribunals
- Responsibilities for work product supervision
7.2 Malpractice Insurance
User acknowledges that any malpractice or errors and omissions insurance they maintain may not cover claims arising from reliance on automated tools, and User should review their coverage accordingly.
- INTELLECTUAL PROPERTY
8.1 User Content
User retains all rights to documents uploaded to the Services. By uploading documents, User grants Jurisage a limited, non-exclusive license to process the documents solely for the purpose of providing the Services.
8.2 Service Output
The format and structure of tables of authorities generated by the Services may incorporate Jurisage’s proprietary methods, but User may freely use, modify, and submit the output as part of their legal filings.
8.3 Confidentiality
Jurisage will treat all uploaded documents as confidential and will not disclose their contents except as necessary to provide the Services or as required by law.
- INDEMNIFICATION
User agrees to indemnify, defend, and hold harmless Jurisage and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- User’s use of the Services
- User’s submission of any table of authorities to any court
- User’s violation of these Terms
- User’s violation of any applicable laws or regulations
- User’s infringement of any third-party rights
- PRIVACY AND DATA SECURITY
10.1 Privacy Policy
User’s use of the Services is subject to Jurisage’s Privacy Policy, which is incorporated by reference into these Terms.
10.2 Data Security
While Jurisage implements reasonable security measures, User acknowledges that no internet transmission is completely secure, and Jurisage cannot guarantee the absolute security of uploaded documents.
10.3 Attorney-Client Privilege
User is responsible for ensuring that use of the Services complies with applicable rules regarding attorney-client privilege and work product protection.
- MODIFICATIONS TO TERMS
Jurisage reserves the right to modify these Terms at any time. Material changes will be notified to users via email or through the Services. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.
- TERMINATION
12.1 Termination by User
User may terminate their use of the Services at any time by ceasing to use the Services and closing their account.
12.2 Termination by Jurisage
Jurisage may terminate or suspend User’s access to the Services immediately for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Any other reason at Jurisage’s sole discretion
- GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of Ontario, Canada, without regard to conflict of law principles.
- SEVERABILITY
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, constitute the entire agreement between User and Jurisage regarding the Services and supersede all prior agreements and understandings.
- WAIVER
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.
- FORCE MAJEURE
Jurisage shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, terrorism, labor disputes, or internet service disruptions.

- ACKNOWLEDGMENT
BY USING THE SERVICES, USER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, INCLUDING THE DISCLAIMERS AND LIMITATIONS OF LIABILITY CONTAINED HEREIN.
